Welcome to Kanze! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kanze Pte Ltd, a company incorporated in Singapore with its registered office at 60 Paya Lebar Road, #06-28, Paya Lebar Square, Singapore 409051 ("Kanze," "we," "us," or "our"). These Terms govern your access to and use of the Kanze mobile application and/or website, including all related services, features, content, and functionalities (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES REFERENCED HEREIN, INCLUDING OUR PRIVACY STATEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. Definitions

• Account refers to your user account with Kanze, created for the purpose of accessing and using the Service.
• API Connection refers to the technology that allows Kanze to securely link to and retrieve Financial Data from Third-Party Financial Institutions or Third-Party API aggregators.
• AI Features refers to any functionalities within the Service that utilize artificial intelligence or machine learning models to provide insights, recommendations, or personalized experiences.
• Financial Data means the financial account information, transaction history, balances, and other financial data retrieved from your Linked Accounts or manually entered by you.
• Kanze Content means all text, media, and other materials that are posted, generated, provided, or otherwise made available through the Service.
• Legacy Planning Documents refers to template documents, tools, or guidance provided by the Service designed to assist users in creating their own estate planning documents.
• Linked Accounts refers to financial accounts (e.g., bank accounts, investment accounts, credit card accounts, digital wallets, insurance policies) belonging to you that you authorize Kanze to connect to via API Connections.
• Privacy Statement refers to the Kanze Privacy Statement, which explains how we collect, use, and protect your personal and financial information.
• Third-Party Financial Institutions refers to the banks, brokerage firms, insurance companies, and other financial services providers where you hold your financial accounts.
• User Content means any data, information, or content that you manually enter into the Service, or otherwise transmit, submit, or make available through the Service.

2. Eligibility and Account Registration

• Eligibility: You must be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction to use the Service.
• Account Creation: You agree to provide accurate, current, and complete information during registration and keep your account information updated.
• Account Security: Maintain the confidentiality of your credentials and you are responsible for all activities under your account. Notify Kanze immediately of any unauthorized use or breach of security.
• Multi-Factor Authentication: We strongly encourage you to enable MFA where available.

4. User Responsibilities and Obligations

• Accuracy of Information: You are responsible for providing and maintaining accurate, current, and complete information for your Account and any User Content you submit.
• Account Security: You are responsible for maintaining the security of your Account login credentials and for all activities that occur under your Account.
• Linking Accounts: You warrant that you are the legal owner or authorized representative of any Linked Accounts you connect and will not link accounts you do not own or lack authorization for.
• Review of Financial Data: You are responsible for regularly reviewing Financial Data displayed in the Service and promptly notifying Kanze of discrepancies or errors.
• Compliance with Laws: You agree to use the Service in compliance with all applicable laws and regulations.
• No Financial/Legal/Tax Advice: The Service provides tools and information only; Kanze is not a financial advisor, broker-dealer, investment advisor, legal counsel, or tax advisor. Consult qualified professionals for advice.
• No Initiation of Transactions: You agree not to attempt to use the Service to initiate transactions, transfers, or other financial actions on your Linked Accounts.

5. Prohibited Conduct

• Use the Service for any illegal purpose.
• License, sell, transfer, or commercially exploit the Service or your account without consent.
• Interfere with or disrupt the Service, servers, or networks.
• Probe, scan, or test vulnerability of any Kanze system or breach security/authentication measures.
• Access or search the Service via engines, software, tools, or agents other than those provided by Kanze or generally available web browsers.
• Send unsolicited or unauthorized advertising, spam, or other forms of solicitation.
• Use, display, mirror, or frame the Service or Kanze trademarks or layout without written consent.
• Reverse engineer, decompile, disassemble, modify, copy, or create derivative works of any portion of the Service.
• Circumvent authentication or security measures, access data not intended for you, or log into accounts without express authorization.
• Impersonate or misrepresent your affiliation.
• Collect or store personally identifiable information from other users without express permission.
• Violate Kanze intellectual property rights or those of others.
• Use the Service for any unintended purpose.
• Attempt or encourage any third party to do the foregoing.

6. Intellectual Property

• Kanze Ownership: All rights, title, and interest in the Service and Kanze Content (excluding User Content) remain the exclusive property of Kanze and its licensors.
• User Content Ownership: You retain ownership of your User Content. You grant Kanze a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works, distribute, display, perform, and otherwise exploit such User Content to operate, develop, provide, and improve the Service, including anonymized and aggregated use.
• Trademarks: The Kanze name, logo, and related marks are trademarks of Kanze or its affiliates and may not be used without prior written permission.

Your use of the Service is governed by our Privacy Statement, which explains how we collect, use, and protect your information.

• No Financial, Investment, Tax, or Legal Advice: Kanze is a technology platform and does not provide such advice. You are solely responsible for your decisions and should consult qualified professionals.
• "As Is" / "As Available" Basis: The Service and Kanze Content are provided without warranty of any kind, express or implied.
• Accuracy of Financial Data: Kanze does not audit or verify accuracy of Financial Data from third parties or manually entered by you and is not responsible for inaccuracies.
• AI Features Disclaimer: AI outputs may be inaccurate, incomplete, biased, or unreliable. Reliance is at your own risk.
• Legacy Planning Disclaimer: Kanze is not a law firm; legacy planning tools are self-help aids and not a substitute for professional legal advice. Consult a qualified attorney.
• Service Availability and Reliability: Kanze does not warrant the Service will meet requirements or be uninterrupted, secure, or error-free.

9. Limitation of Liability

• To the maximum extent permitted by law, Kanze and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use or inability to use the Service or related matters.
• Aggregate liability is limited to the greater of amounts you paid to Kanze for the Service in the preceding 12 months or SGD $50.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kanze and its affiliates, officers, directors, employees, partners, suppliers, licensors, and agents from claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, your breach of these Terms, or violation of law or third-party rights.

11. Suspension and Termination

• By Kanze: We may suspend or terminate your access at our discretion, including for breach of these Terms, creating risk or legal exposure, or if we cease providing the Service.
• By You: You may cancel your account at any time through Account settings or by contacting admin@kanze.io.
• Effect of Termination: Upon termination, sections intended to survive will remain in effect, and we will delete personal data as described in the Privacy Statement.

12. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of Singapore without regard to conflict of laws provisions.
• Mandatory Arbitration: Disputes will be resolved through final and binding arbitration in Singapore, administered by a recognized arbitration institution, except for small claims, agency enforcement, injunctive relief, or intellectual property claims.
• Class Action Waiver: Claims may be brought only in individual capacity; no class or representative proceedings without mutual agreement.

13. General Provisions

• Entire Agreement: These Terms, the Privacy Statement, and referenced policies constitute the entire agreement between you and Kanze.
• Severability: If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in effect.
• Assignment: You may not assign these Terms without Kanze's prior written consent; Kanze may assign freely.
• Waiver of Rights: Failure to exercise any right is not a waiver of further rights; waivers must be in writing and signed.
• Force Majeure: Kanze is not liable for delays or failures due to causes beyond its reasonable control.
• Taxes: You are responsible for paying, withholding, filing, and reporting all taxes related to your activity in connection with the Services.

14. Changes to Terms

We may modify these Terms at any time at our discretion. If you continue to use the Service after modified Terms are posted, you agree to be bound by them. If you do not agree, you must stop using the Service.
